Learning Objectives

The course has the following objectives: (i) knowledge of operating mechanisms, effective methods and main problems relating to international commercial contracts; (ii) in-depth knowledge of institutions and regulatory bodies of international trade.

Program

(i) International contracts: basic notions; private international law (jurisdiction and applicable law); the negotiation phase; international sale contracts; distribution agreements; the nullity of international contracts. Basics of international patents, customs, transports and payments

(ii) International trade institutions, with particular focus on the World Trade Organization

(iii) Disputes resolution in international commercial matters

Learning Achievements (Dublin Descriptors)

- Knowledge and understanding: knowledge of the operating mechanisms underlying international commercial contracts, with particular reference to sale and distribution contracts; study of role and powers of international organizations dealing with international trade, such as the World Trade Organization. The verification of this knowledge will take place with the analysis of "real" contracts widespread in international practice and with the reading of the statutes relating to international organizations, as well as with the final exam;

- Applying knowledge and understanding: application in the "practice" of principles governing international contracts; interpretation of the effective role of international organizations in international trade. The verification of such knowledge will take place with the preparation of clauses applicable in practice to international contracts and with classroom discussions relating to the operativeness of international institutions, as well as intermediate tests during the lessons;

- Making judgments: learning of the possible links between the various legal institutions and international commercial practice; autonomy in the preparation of an autonomous judgment on the clauses of international contracts and on the effectiveness of the role of international institutions. This result must be acquired by reading papers and contractual documents, and by showing in class what has been learnt;

- Communicative skills: need to acquire legal communication and to learn the most common legal terms in international trade. This result must be acquired through classroom conversations and brain storming between students and teacher.

- Learning skills: knowledge of the learning methodology in the field of international contracts, with particular focus on the need to be able to analyze contractual standards present in practice in a short timeframe. This result must be acquired with the intermediate tests and with classroom brain storming.

Assessment

Written test including 31 questions. The correct answer to each question will guarantee the award of one point.

Mark range:

  • 18-19: knowledge of a very limited number of topics covered in the course and analytical skills that emerge only with the help of the teacher, expressed in an overall correct language;
  • 20-24: knowledge of a limited number of topics covered in the course and ability to autonomous analysis only on purely executive matters, expression in correct language;
  • 25-29: good knowledge of a large number of topics covered in the course, ability to make independent choices of critical analysis, mastery of specific terminology;
  • 30-30 cum laude: excellent knowledge of the topics covered in the course, ability to make autonomous choices of critical analysis and connection, full mastery of specific terminology and ability to argue and self-reflection.
Disability and Specific Learning Disorders (SLD)

Students who have registered their disability certification or SLD certification with the Inclusion and Right to Study Office can request to use conceptual maps (for keywords) during exams.

To this end, it is necessary to send the maps, two weeks before the exam date, to the course instructor, who will verify their compliance with the university guidelines and may request modifications.
